Terms of Service
DRAFT — not yet reviewed by counsel. Version 0.1-draft. The reviewed text replaces this before any real payment is taken; the app asks you to accept the version in force.
1. What Vis Aeternum is
Vis Aeternum ("we") is a talent agency. We introduce clients to reviewed software engineers, put a work order under each engagement, collect the client's payment before work starts, and pay the engineer after the client confirms the work. We are a party to each engagement as the agency; the engineer supplies the services.
2. Accounts and verification
One account per person, tied to a Nigerian phone number. Engineers verify their identity with a NIN check and are reviewed by us before they can be matched. Clients verify their identity before a job can go live.
3. Engagements, payment and start
An engagement starts when both parties have accepted its work order and the client's payment (the budget plus VAT) has been received. The client's payment is due before work starts; the engineer's pay is due after the client confirms completion or seven days pass without an issue being raised.
4. Payouts and tax
We pay the engineer the agreed share of the budget to a bank account verified in their name. Withholding tax is deducted at the rate the law requires and remitted on the engineer's behalf; a credit note is issued for every deduction. An engineer who declares small-supplier status is responsible for the truth of that declaration.
5. Issues, refunds and disputes
A client may raise an issue within seven days of completion. We review it with both parties and decide to release the payout, refund the client in full, or refund pro rata to the deliverables not accepted. Refunds go back to the payment method used. Card disputes raised with the card issuer pause the engagement until resolved.
6. Complaints
Complaints go to support first and are answered by a person within five business days. Nothing here takes away rights you have under Nigerian consumer protection law; there is no mandatory arbitration.
7. Our relationships
Vis Aeternum has a commercial relationship with Aierth, a training provider; graduates of its programmes may carry a badge. That relationship does not affect matching or pay.
8. Changes
When these terms change you will be asked to accept the new version in the app. Engagements already running continue under the version accepted for them.
